1. ACCEPTANCE OF TERMS AND BINDING AGREEMENT
By accessing, browsing, registering on, or using the platform located at www.holdmyseatinc.com (the "Platform"), or by clicking "I Agree," completing a booking request, or submitting payment, you ("Customer," "User," or "you") acknowledge that you have read, understood, and agree to be legally bound by these Terms and Conditions ("Terms"), including all policies incorporated herein by reference.
These Terms constitute a legally binding and enforceable contract between you and Hold My Seat Inc., a corporation organized and existing under the laws of the State of Georgia, United States ("Hold My Seat," "Company," "we," "us," or "our").
If you are using the Platform on behalf of a business or third party, you represent that you have full authority to bind that entity to these Terms. If you do not agree with any provision of these Terms, you must immediately discontinue use of the Platform.
We reserve the right to modify these Terms at any time. Continued use of the Platform following notice of any modification constitutes your acceptance of the revised Terms. It is your responsibility to review these Terms periodically.
2. ELIGIBILITY AND ACCOUNT REGISTRATION
2.1 Eligibility Requirements
To access and use the Platform, you must:
- Be at least 18 years of age at the time of registration;
- Be a legal resident or citizen of the United States;
- Have the legal capacity to enter into a binding contract under applicable law;
- Not be subject to any court order or legal restriction that would prevent you from entering into this agreement;
- Not have been previously suspended or terminated from the Platform for any violation of these Terms.
2.2 Account Registration
You agree to provide accurate, truthful, current, and complete information during the registration and booking process. You are solely responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must notify us immediately at legal@holdmyseatinc.com of any unauthorized use of your account.
2.3 One Account Per Customer
Each customer is permitted to maintain only one active account. Hold My Seat reserves the right to merge, suspend, or permanently terminate duplicate accounts at its sole discretion.
2.4 Verification
Hold My Seat reserves the right to verify your identity and eligibility at any point during your use of the Platform. Failure to cooperate with verification requests may result in suspension or cancellation of your booking and account.
3. NATURE OF SERVICE AND RELATIONSHIP OF PARTIES
3.1 Fee-Based Reservation Service
Hold My Seat Inc. provides a fee-based flight seat reservation and installment repayment service. We are not a bank, lender, credit provider, mortgage company, or financial institution. We do not extend loans, offer credit, or provide financing in the traditional legal or regulatory sense.
3.2 No Lender-Borrower Relationship
The relationship between Hold My Seat and the Customer is that of a service provider and service recipient. The installment structure represents a repayment of the actual ticket cost advanced by Hold My Seat on the Customer's behalf, and not the repayment of a loan or credit line.
3.3 No Travel Agency Relationship
Hold My Seat is not a licensed travel agency, tour operator, or airline representative. We act as an independent third-party purchaser of travel inventory on your behalf, and we do not represent or act as an agent of any airline, carrier, or travel provider.
3.4 Merchant of Record
Hold My Seat Inc. is the merchant of record for all transactions processed through the Platform. All payment processing is facilitated through Stripe, Inc., a third-party payment processor, subject to Stripe's own terms of service and privacy policy.
3.5 No Guarantee of Travel Services
Hold My Seat does not own, operate, control, or guarantee the services provided by any airline, airport, or travel provider. We are not responsible for the acts or omissions of any third-party travel provider.
4. THE BOOKING PROCESS
4.1 Booking Request
To initiate a booking, a Customer must submit a seat reservation request through the Platform, providing all required travel details including passenger name, travel dates, destination, and preferred flight.
4.2 Service Fee Payment
Upon submission of a booking request, the Customer must pay a non-refundable upfront service fee ranging from 10% to 18% of the total ticket cost (as disclosed at checkout). This service fee covers price-lock processing, reservation costs, and operational risk. Payment of the service fee does not constitute a confirmed booking.
4.3 Ticket Purchase
Upon receipt and verification of the service fee, Hold My Seat will use company funds to purchase a refundable flight ticket in the Customer's legal name from the applicable airline or travel provider. An internal platform confirmation will be issued to the Customer acknowledging that a reservation has been secured on their behalf.
4.4 Withholding of Airline Confirmation
The Customer acknowledges and expressly agrees that the airline confirmation number, booking reference, and all associated travel credentials will be withheld by Hold My Seat until the Customer has completed all installment payments in full. Prior to full payment, the Customer will receive only an internal Hold My Seat reservation confirmation.
4.5 Booking Accuracy
The Customer is solely responsible for verifying the accuracy of all booking details, including but not limited to passenger name, travel dates, destination, and flight selection, prior to payment of the service fee. Hold My Seat will not be liable for errors resulting from inaccurate information provided by the Customer.
4.6 Right to Decline
Hold My Seat reserves the right, at its sole and absolute discretion, to decline any booking request without obligation to provide a reason. In such cases, any service fee paid will be refunded in full.
5. INSTALLMENT PAYMENT PLAN
5.1 Payment Schedule
Upon confirmation of the Customer's booking, Hold My Seat will provide a customized installment payment schedule outlining the total amount owed (equal to the actual ticket cost), the number of scheduled payments, payment due dates, and the amount due per installment. This schedule will be provided to the Customer via the Platform and/or email.
5.2 Payment Completion Deadline
All installment payments must be completed in full no later than 18 to 19 calendar days prior to the scheduled travel date. This deadline is firm and non-negotiable. Failure to complete all payments within this window will trigger the cancellation provisions set forth in Section 7 of these Terms.
5.3 Payment Methods
All payments must be made through the Platform using a valid U.S.-issued debit card, credit card, or bank account processed through Stripe. Hold My Seat does not accept cash, checks, wire transfers, cryptocurrency, or payments made outside the Platform.
5.4 No Interest Charges
Hold My Seat does not charge interest on installment repayments. The Customer repays only the actual ticket cost advanced by the Company, plus the non-refundable service fee paid upfront.
5.5 Automatic Payment Authorization
By agreeing to an installment plan, the Customer expressly authorizes Hold My Seat and its payment processor, Stripe, to automatically charge the payment method on file on each scheduled due date. It is the Customer's responsibility to ensure sufficient funds or credit availability on each due date.
5.6 Failed Payments
In the event a scheduled payment fails due to insufficient funds, declined card, expired card, or any other reason, Hold My Seat will:
- Notify the Customer via email and/or phone within 24 hours of the failed payment;
- Attempt to collect the outstanding payment up to three (3) times over a reasonable period;
- Provide the Customer with an opportunity to update their payment method through the Platform.
5.7 No Reporting to Credit Bureaus
Hold My Seat does not report Customer payment activity, defaults, or cancellations to any credit reporting agency. No Social Security Number is required to use the Platform.
6. SERVICE FEE POLICY
6.1 Non-Refundable Service Fee
The upfront service fee paid by the Customer at the time of booking is strictly non-refundable under all circumstances, including but not limited to Customer-initiated cancellations, airline schedule changes, force majeure events, or booking errors caused by the Customer.
6.2 Fee Disclosure
The applicable service fee percentage and dollar amount will be clearly disclosed to the Customer on the booking confirmation page prior to payment. By proceeding with payment, the Customer acknowledges and accepts the service fee as a condition of the service.
6.3 Fee Justification
The service fee compensates Hold My Seat for the cost of securing the reservation, advancing company funds for the ticket purchase, operational and administrative expenses, and the financial risk assumed by the Company in holding a ticket prior to full payment.
6.4 No Waiver of Fee
Hold My Seat shall not waive, reduce, or negotiate the service fee for any reason, except at the Company's sole and absolute discretion in extraordinary circumstances.
7. CANCELLATIONS, DEFAULTS, AND REFUNDS
7.1 Customer-Initiated Cancellation Before Full Payment
A Customer may cancel their reservation at any time prior to completing full payment by submitting a written cancellation request through the Platform or via email to support@holdmyseatinc.com. Upon verified cancellation:
- The Customer will receive a refund of all installment payments made to date, minus any applicable payment processing fees charged by Stripe;
- The upfront service fee is non-refundable and will not be returned under any circumstances;
- Refunds will be processed within 5 to 7 business days to the original payment method on file.
7.2 Company-Initiated Cancellation Due to Non-Payment
If a Customer fails to complete scheduled installment payments within the required timeframe and fails to respond to three (3) contact attempts by Hold My Seat, the Company reserves the right to:
- Cancel the reservation with the airline or travel provider;
- Retain all installment payments previously made by the Customer as compensation for reservation costs, operational expenses, and administrative losses incurred;
- Close the Customer's account and prohibit future use of the Platform.
7.3 Cancellation Due to Payment Deadline Failure
If full payment is not received by the mandatory deadline of 18 to 19 calendar days prior to the travel date, Hold My Seat will treat the booking as abandoned and will cancel the reservation. In such cases, prior installment payments will be forfeited, and the service fee will not be refunded.
7.4 Post-Payment Cancellations
Once full payment has been received and the airline confirmation number has been released to the Customer, Hold My Seat's obligations are fully discharged. Any cancellation, modification, or refund request after this point must be directed solely to the airline or travel provider in accordance with their applicable fare rules. Hold My Seat will have no further involvement or liability.
7.5 Refundable Ticket Policy
Hold My Seat only purchases refundable fare tickets to safeguard its ability to recover advanced funds in the event of cancellation. This policy benefits both the Company and the Customer but does not create any additional refund rights beyond those expressly stated in these Terms.
7.6 No Chargebacks
The Customer expressly agrees not to initiate a chargeback or payment dispute with their bank or card issuer in connection with any service fee or installment payment made through the Platform. Any legitimate disputes must be submitted to Hold My Seat directly in accordance with Section 21 of these Terms. Unauthorized chargebacks may result in immediate account termination and recovery proceedings.
8. PRICING AND PRICE LOCK GUARANTEE
8.1 Price Lock
When Hold My Seat purchases a ticket on the Customer's behalf, the ticket price is locked at the time of purchase. The Customer's repayment obligation is fixed at the actual ticket cost paid at the time of booking and will not increase due to subsequent changes in airline pricing.
8.2 No Price Guarantee Beyond Lock
Hold My Seat does not guarantee that the price secured represents the lowest available fare at any given time. Customers are encouraged to conduct their own research prior to submitting a booking request.
8.3 Price Variations
The total ticket cost and service fee will vary depending on the flight selected, travel dates, airline, and availability at the time of booking. All pricing is disclosed in full on the booking confirmation page prior to payment.
9. CUSTOMER OBLIGATIONS AND CONDUCT
9.1 Accurate Information
The Customer agrees to provide truthful, accurate, and complete information at all times, including during registration, booking, and any communications with Hold My Seat. Providing false or misleading information constitutes a material breach of these Terms and may result in immediate account termination and forfeiture of all payments made.
9.2 Prohibited Conduct
The Customer agrees not to:
- Use the Platform for any unlawful purpose or in violation of any applicable federal, state, or local law;
- Attempt to circumvent the payment plan by accessing or using airline confirmation details through unauthorized means;
- Engage in fraud, identity theft, or misrepresentation in connection with any booking;
- Use another person's payment method without their express authorization;
- Interfere with or disrupt the technical operation of the Platform;
- Attempt to reverse-engineer, copy, scrape, or exploit any part of the Platform or its technology;
- Create multiple accounts to circumvent account suspension or termination.
9.3 Compliance with Travel Requirements
The Customer is solely responsible for ensuring compliance with all travel-related requirements, including valid government-issued identification, passport, visa, vaccination records, and entry requirements for their destination. Hold My Seat bears no responsibility for denied boarding or travel due to the Customer's failure to comply with such requirements.
10. INTELLECTUAL PROPERTY RIGHTS
10.1 Ownership
All content on the Platform, including but not limited to text, graphics, logos, icons, images, audio clips, software, data compilations, and the overall design and layout, is the exclusive property of Hold My Seat Inc. or its licensors and is protected by applicable U.S. and international copyright, trademark, and intellectual property laws.
10.2 Limited License
Hold My Seat grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform solely for your personal, non-commercial use in accordance with these Terms.
10.3 Restrictions
You may not copy, reproduce, distribute, publish, modify, create derivative works of, publicly display, or commercially exploit any content from the Platform without the prior written consent of Hold My Seat Inc.
10.4 Trademarks
"Hold My Seat," the Hold My Seat logo, and all related marks are trademarks or registered trademarks of Hold My Seat Inc. Unauthorized use of any Company trademark is strictly prohibited.
10.5 User Submissions
Any feedback, suggestions, ideas, or other submissions you provide to Hold My Seat may be used by the Company freely and without obligation, compensation, or attribution to you.
11. PRIVACY AND DATA PROTECTION
Hold My Seat is committed to protecting your personal data. Our collection, use, storage, and sharing of your personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.
By using the Platform, you consent to the collection and processing of your personal data as described in the Privacy Policy.
Hold My Seat uses Stripe, Inc. as its payment processor. Stripe's handling of your payment data is governed by Stripe's own Privacy Policy and Terms of Service. Hold My Seat does not store full payment card details on its servers.
12. THIRD-PARTY SERVICES AND LINKS
12.1
The Platform may contain links to or integrations with third-party websites, services, or platforms, including but not limited to airlines, travel providers, and payment processors. These third-party services are governed by their own terms and privacy policies.
12.2
Hold My Seat does not endorse, control, or assume responsibility for any third-party services, websites, or content. Your use of third-party services is entirely at your own risk.
12.3
Hold My Seat shall not be liable for any loss or damage arising from your interaction with any third-party service accessed through or in connection with the Platform.
13. PLATFORM AVAILABILITY AND MODIFICATIONS
13.1
Hold My Seat will make reasonable efforts to ensure the Platform is available and functional at all times. However, we do not guarantee uninterrupted, error-free, or continuous availability of the Platform.
13.2
We reserve the right to modify, suspend, or discontinue any aspect of the Platform at any time, with or without notice, including features, pricing structures, and service offerings. Hold My Seat shall not be liable to you or any third party for any modification, suspension, or discontinuation of the Platform.
13.3
Scheduled or emergency maintenance may temporarily limit Platform access. Hold My Seat will endeavor to provide advance notice of scheduled downtime where practicable.
14. DISCLAIMER OF WARRANTIES
14.1 As-Is Basis
THE PLATFORM AND ALL SERVICES PROVIDED BY HOLD MY SEAT INC. ARE OFFERED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.
14.2 No Implied Warranties
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, HOLD MY SEAT EXPRESSLY DISCLAIMS ALL IMPLIED WARRANTIES, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
14.3 No Warranty on Travel Services
HOLD MY SEAT MAKES NO WARRANTY REGARDING THE QUALITY, SAFETY, RELIABILITY, OR AVAILABILITY OF ANY FLIGHT OR TRAVEL SERVICE BOOKED THROUGH THE PLATFORM. ALL TRAVEL SERVICES ARE PROVIDED BY INDEPENDENT THIRD-PARTY CARRIERS AND PROVIDERS.
14.4 No Warranty on Uninterrupted Service
HOLD MY SEAT DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, SECURE, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.
15. LIMITATION OF LIABILITY
15.1 Cap on Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, HOLD MY SEAT INC.'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY AND ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF THE PLATFORM SHALL NOT EXCEED THE TOTAL AMOUNT OF SERVICE FEES ACTUALLY PAID BY YOU TO HOLD MY SEAT IN THE SIX (6) MONTHS PRECEDING THE CLAIM.
15.2 Exclusion of Consequential Damages
IN NO EVENT SHALL HOLD MY SEAT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF DATA, LOSS OF GOODWILL, MISSED TRAVEL, BUSINESS INTERRUPTION, OR ANY OTHER INTANGIBLE LOSS, EVEN IF HOLD MY SEAT HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
15.3 Third-Party Actions
HOLD MY SEAT SHALL NOT BE LIABLE FOR ANY ACTS OR OMISSIONS OF ANY AIRLINE, AIRPORT, TRAVEL PROVIDER, PAYMENT PROCESSOR, OR OTHER THIRD PARTY INVOLVED IN DELIVERING SERVICES IN CONNECTION WITH YOUR BOOKING.
15.4 Force Majeure
Hold My Seat shall not be liable for any failure or delay in performance caused by circumstances beyond its reasonable control, including but not limited to natural disasters, acts of God, war, terrorism, government restrictions, pandemics, airline insolvency, labor disputes, or internet service disruptions.
16. INDEMNIFICATION
16.1
You agree to indemnify, defend, and hold harmless Hold My Seat Inc., its officers, directors, employees, agents, contractors, licensors, and successors from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:
- Your use of or access to the Platform;
- Your violation of any provision of these Terms;
- Your violation of any applicable law, regulation, or third-party right;
- Any inaccurate, misleading, or fraudulent information provided by you;
- Any dispute between you and any airline, travel provider, or third party.
16.2
Hold My Seat reserves the right, at its own expense, to assume exclusive defense and control of any matter subject to indemnification by you, in which case you agree to cooperate fully with Hold My Seat in asserting any available defenses.
17. FRAUD PREVENTION AND PLATFORM INTEGRITY
17.1
Hold My Seat employs automated and manual fraud detection measures, including tools provided by Stripe, to identify and prevent fraudulent bookings, identity misrepresentation, and payment abuse.
17.2
Any Customer found to have engaged in fraudulent activity, including but not limited to using stolen payment credentials, submitting false identity information, or attempting to manipulate the Platform, will have their account immediately terminated, all payments forfeited, and may be reported to relevant law enforcement authorities.
17.3
Hold My Seat reserves the right to refuse service, cancel bookings, or block access to the Platform to any user suspected of fraudulent, abusive, or harmful behavior, without prior notice and without refund obligation.
18. ACCOUNT SUSPENSION AND TERMINATION
18.1 Termination by Customer
You may close your account at any time by contacting Hold My Seat at support@holdmyseatinc.com. Closing your account does not relieve you of any outstanding payment obligations or waive any rights held by Hold My Seat.
18.2 Termination by Hold My Seat
Hold My Seat reserves the right to suspend or permanently terminate your account at any time, with or without notice, for any of the following reasons:
- Violation of any provision of these Terms;
- Non-payment or repeated payment failures;
- Fraudulent, abusive, or disruptive conduct;
- Legal or regulatory requirements compelling such action;
- Extended account inactivity.
18.3 Effect of Termination
Upon termination, all licenses granted to you under these Terms will immediately cease, any pending bookings may be cancelled, and outstanding payment obligations will remain enforceable. Sections of these Terms that by their nature should survive termination shall survive, including but not limited to Sections 6, 7, 10, 14, 15, 16, 21, and 22.
19. ELECTRONIC COMMUNICATIONS AND RECORDS
19.1
By using the Platform and providing your email address, you consent to receiving electronic communications from Hold My Seat, including booking confirmations, payment receipts, payment reminders, cancellation notices, and legal notices.
19.2
You agree that electronic communications, records, and agreements satisfy any legal requirement that such communications be in writing. Electronic records maintained by Hold My Seat in connection with your account and bookings shall constitute valid and binding evidence of the transactions between us.
19.3
It is your responsibility to maintain a valid, accessible email address on file with Hold My Seat at all times. Hold My Seat shall not be liable for any failure to receive communications resulting from an invalid or inaccessible email address.
20. MODIFICATIONS TO TERMS
20.1
Hold My Seat reserves the right to amend, update, or replace these Terms at any time. When material changes are made, we will notify Customers via email or a prominent notice on the Platform no fewer than 7 days prior to the effective date of the changes.
20.2
Your continued use of the Platform after the effective date of any modification constitutes your binding acceptance of the revised Terms. If you do not agree to the modified Terms, you must discontinue use of the Platform immediately.
20.3
The most current version of these Terms will always be available at www.holdmyseatinc.com/terms.
21. DISPUTE RESOLUTION, ARBITRATION, AND CLASS ACTION WAIVER
21.1 Informal Resolution
In the event of any dispute, claim, or controversy arising out of or relating to these Terms or your use of the Platform ("Dispute"), the parties agree to first attempt to resolve the Dispute informally by contacting Hold My Seat at legal@holdmyseatinc.com. Hold My Seat will endeavor to respond within 15 business days.
21.2 Binding Arbitration
If the Dispute cannot be resolved informally within 30 days of written notice, both parties agree to submit the Dispute to final and binding arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules, as amended from time to time. The arbitration shall be conducted in Fulton County, Georgia, or virtually if mutually agreed. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.
21.3 Class Action Waiver
YOU EXPRESSLY WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION AGAINST HOLD MY SEAT INC. ALL DISPUTES MUST BE BROUGHT IN YOUR INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.
21.4 Exceptions
Notwithstanding the foregoing, either party may seek emergency injunctive or equitable relief from a court of competent jurisdiction to prevent irreparable harm pending arbitration.
21.5 Governing Law
These Terms and any Disputes arising hereunder shall be governed by and construed in accordance with the laws of the State of Georgia, without regard to its conflict of law provisions.
22. GOVERNING LAW AND JURISDICTION
22.1
These Terms shall be governed by the laws of the State of Georgia, United States, without regard to any conflict of law provisions.
22.2
To the extent any claim is not subject to arbitration under Section 21, the parties irrevocably consent to the exclusive jurisdiction and venue of the state and federal courts located in Fulton County, Georgia for resolution of such disputes.
23. SEVERABILITY AND WAIVER
23.1 Severability
If any provision of these Terms is found by a court or arbitrator of competent jurisdiction to be invalid, illegal, or unenforceable, that provision shall be modified to the minimum extent necessary to make it enforceable, or severed if modification is not possible, and the remaining provisions of these Terms shall continue in full force and effect.
23.2 No Waiver
Hold My Seat's failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. No waiver of any breach shall be deemed a waiver of any subsequent breach of the same or any other provision.
24. ENTIRE AGREEMENT
24.1
These Terms, together with the Privacy Policy and Cookie Policy incorporated herein by reference, constitute the entire agreement between you and Hold My Seat Inc. with respect to your use of the Platform and supersede all prior or contemporaneous agreements, representations, warranties, and understandings, whether written or oral, relating to the subject matter hereof.
24.2
No oral statements, representations, or promises made by any Hold My Seat employee or representative shall be binding unless expressly set forth in writing and signed by an authorized officer of Hold My Seat Inc.
